The review and acceptance of an award is a critical juncture between proposal submission and execution of the project. As we have emphasized, care needs to be taken to analyze sponsor terms and conditions to ensure the institution and investigator has the capabilities to meet them. During this review, the reviewer/negotiator must be aware of specific terms and conditions that cannot be agreed to depending upon the type of institution and its governing body. Negotiations can be time consuming with complex agreements, especially contractual arrangements. Some states (i.e. North Carolina) and the FDP membership (http://www.thefdp.org) have instituted master agreements among their membership (State of North Carolina state institutions, FDP members) to streamline partnership collaboration and negotiations.

Research administrators should carefully examine the follow items of concern:

Change of scope of budget from proposed
Hold harmless and indemnification language
Publication restrictions
Unrealistic time frame
Payment schedules
Certain restrictive clauses incorporated by reference
